Our office firmly believes in protecting your important files. That's why we keep all client files on our servers which have a raid system back up. Additionally, all of our client files are backed up every night to an offsite San Diego location in the event that our server fails or is destroyed by a fire. Beware of other internet web sites offering incorporation services for unbelievably low prices. Here is what you should know:

  1. They don't tell you that there are other corporate forms requiring additional fees to government agencies. These must be filed shortly after you receive the Articles of Incorporation. There are no hidden fees when you deal with our office.
  2. They may not analyze your unique situation to recommend the best type of business entity for liability or tax reasons. Most of these companies are forbidden by law from giving you legal advice.
  3. They may only assist you in filing documents that you choose to be filed. However, this decision is best left up to your attorney and tax preparer, not you. For example, you may own a commercial property that you want to transfer into a corporation. However, a corporation may not be the best entity in this situation; you may be far better off with a limited liability company for tax reasons.
  4. Your corporation or other entity may not be completed properly, which could eliminate your limited liability protection. Most other companies usually don't complete the entire incorporation process.
  5. They typically file only the Articles of Incorporation (which is usually a 1-page document), send you a folder containing incomplete forms, and fill in the blank documents. You are left with the daunting task of completing the bylaws, minutes, stock certificates, S-Election (if applicable), figuring out IRS tax issues, securities qualifications, and other complex legal issues. If these documents are not completed properly, you may not be protected from personal liability for a judgment.
